Terms of use
These terms govern your use of veriluxmusic.com. They are not the representation agreement, and this website is not a contract.
1. Who we are
This site is operated by Verilux Music, 86 Bailer Dr, Belgrade, MT 59714, United States ("Verilux", "we", "us"). Verilux Music is a music publisher, label and non-exclusive sync agent. By using this site you agree to these terms. If you do not, please do not use the site.
2. This site is information, not an offer
The commercial terms published on this site — including the 40% / 60% split of the gross upfront sync fee, the rights criteria, the deliverable requirements, the approvals mechanism, the 30-day opportunity lock and the 12-month term — are an accurate description of the representation agreement we currently offer. They are published so you can make an informed decision before you apply.
They are not an offer capable of acceptance, and nothing on this site creates a legal relationship between us. No representation exists, and no rights are granted, until a written agreement is signed by both parties and, for any specific track, until a schedule addendum naming that track is signed. Submitting the application form commits you to nothing and obliges us to nothing beyond replying to you.
We may change our terms for future agreements at any time. A signed agreement is governed by its own text as signed, not by whatever this site says later.
3. No guarantee of placement or revenue
Verilux does not promise, guarantee or forecast placements, revenue, fees or timelines to anyone. Verilux is an early-stage business. Sync fees vary enormously by use, and any figures or ranges mentioned on this site are general industry context, not a prediction about your music or your project. Nothing here should be treated as a projection of earnings.
4. Accuracy of what you submit
If you use the application form, you agree that the information and the attestations you submit are true and complete to the best of your knowledge, and that you have the authority to make them on behalf of any co-writers or co-owners concerned. We rely on those attestations. An inaccurate attestation is grounds for us to decline your application or to terminate an agreement, and you remain responsible for any loss caused by an inaccurate one.
Do not send us unsolicited audio attachments, and do not send us confidential material you do not want us to have. Provide a link and we will listen.
5. Acceptable use
You agree not to:
- submit false, misleading or automated form entries, or attempt to defeat the spam protections;
- attempt to gain unauthorized access to the site, its APIs or the systems behind them;
- use the site or our email addresses to distribute unsolicited commercial messages;
- copy, harvest or reuse content or contact details from this site for a competing service or for a mailing list;
- use the site in any way that breaks applicable law.
6. Intellectual property
The text, layout, design, logo and images on this site belong to Verilux Music or are used with permission, and are protected by copyright and trade mark law. You may read, print and share pages for your own business use. You may not republish substantial parts of the site or present them as your own.
Music referenced anywhere on this site remains the property of its respective rights holders. Nothing on this site grants you any license to use any musical work or sound recording. Licenses are granted only by a signed license agreement.
7. Third-party links
Where we link to another site, we do not control it and are not responsible for its content or its privacy practices.
8. Availability
We provide this site on an "as is" and "as available" basis, without warranties of any kind. We do not guarantee the site will be uninterrupted or error-free, and we may change, suspend or withdraw any part of it at any time.
9. Limitation of liability
To the fullest extent permitted by law, Verilux Music is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost opportunities or lost data, arising out of your use of this site. Our total liability arising from your use of this site is limited to one hundred US dollars (US$100). Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or fraudulent misrepresentation.
10. Privacy
Our handling of personal information is described in our privacy notice, which forms part of these terms.
11. Governing law
These terms are governed by the laws of the State of Montana, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Montana have exclusive jurisdiction over any dispute arising from your use of this site. Any dispute arising under a signed representation or license agreement is governed by that agreement’s own governing-law and dispute provisions.
