Scope and acceptance

These Terms govern your use of VERILUX Music’s website, artist portal, application and submission tools, and related online services, including veriluxmusic.com and sync.veriluxmusic.com (collectively, the “Services”). The Services are operated by Verilux Music LLC, a Montana limited liability company, referred to in these Terms as “VERILUX,” “we,” “us,” and “our.”

By accepting these Terms, creating an account, or submitting an application or material through a form that presents these Terms for acceptance, you agree to them. If you act for an artist, writer, publisher, company, or other person, you represent that you are authorized to do so and to accept these Terms for that person or entity. Do not use restricted account or submission features if you lack that authority or do not agree.

Our Privacy Policy explains how we handle personal information in connection with the Services. It is not a grant of music rights or a substitute for any consent required by applicable law.

Relationship to representation and licensing agreements

These Terms govern use of the Services; they do not appoint VERILUX as your representative or require us to represent, pitch, accept, license, or continue reviewing any music. An application, account, favorable review, qualification email, or portal status does not by itself create a representation agreement or guarantee that a particular track is accepted.

A separately executed representation agreement, song schedule, license, or other written agreement controls the matters it expressly covers. If these Terms conflict with such an agreement, that agreement controls for those matters. These Terms do not alter agreed commissions, payment obligations, licensing authority, exclusivity, or termination rights under a signed agreement.

Website explanations, forecasts, examples, and educational materials are general information, not legal, tax, or financial advice or promises of results. You are responsible for obtaining professional advice appropriate to your circumstances.

Accounts and representatives

You must be at least 18 years old and have legal capacity to enter into these Terms to create or operate an account, apply, or submit material. Provide accurate, current information, keep login links, credentials, and account access secure, notify us promptly of suspected unauthorized access, and do not use another person’s account without authorization.

An artist or contributor under 18 may be represented through an adult account holder who submits and communicates on their behalf. The adult must be the minor’s parent or legal guardian, or an authorized representative with the necessary authority from the parent or legal guardian and any other required rights holders. Adult status or a manager designation alone does not establish that authority. The adult must identify that they are acting for a minor, obtain required permissions, and provide supporting documentation when requested. A minor must not create, operate, or use the adult’s account. We may pause or decline a submission until required authority and documentation are established; these Terms do not replace any guardian signatures, court approvals, or other requirements applicable to a particular agreement.

A manager or other representative remains responsible for the accuracy of the information and permissions they submit. Identifying yourself as a manager or saving a writer or publisher profile does not establish ownership, signing authority, clearance, or any person’s approval of a particular submission. Confirm the correct writers, publishers, ownership shares, contacts, and permissions for each song, even when information is automatically populated.

Your submissions and warranties

“Submitted Material” includes recordings, compositions, lyrics, stems, artwork, metadata, listening or download links, profile information, rights documents, statements, and other material you provide or authorize us to access through the Services.

You represent and warrant that:

  • Authority: You own or control, or have obtained the permissions necessary for, the Submitted Material and the processing authorized by these Terms. You may provide the personal information and documents you submit about other people.
  • Accuracy: Your statements about ownership, splits, contributors, samples, third-party material, generative AI use, releases, restrictions, and authority are complete and accurate in all material respects. You will promptly correct material errors and notify us of disputes or changes affecting clearance.
  • Rights and legality: The authorized use of your Submitted Material does not infringe another person’s intellectual property, privacy, publicity, contractual, or other rights, violate law, or breach an obligation you owe to someone else.
  • Documentation: You will provide reasonably requested evidence of rights and authority. Do not describe a song as fully cleared when necessary signatures, permissions, split confirmations, or contributor agreements are missing.
  • Eligibility: You will comply with the submission and clearance requirements presented in the applicable workflow, including the requirements concerning generative AI, samples, and documentation. Accurate disclosure does not guarantee acceptance.

Do not submit passwords, payment-card details, government identifiers, or unrelated sensitive information in lyrics, notes, documents, or other free-text fields. Retain your own copies of all Submitted Material; the Services are not your backup or archival service.

Permission to operate the Services

You retain your ownership interests in Submitted Material. You grant VERILUX a nonexclusive, worldwide, royalty-free permission to access, retrieve, download, copy, host, store, transmit, transcode, create technical versions of, analyze, organize, and display Submitted Material as reasonably necessary to receive and evaluate submissions; verify rights and eligibility; operate accounts and workflows; communicate with relevant contributors; administer our relationship with you; and perform separately authorized catalog, pitching, representation, and licensing activities.

This permission includes using service providers and industry platforms for those purposes, and transmitting audio, links, metadata, documents, and relevant contact information to them. Processing may produce fingerprints, technical features, tags, similarity matches, descriptions, screening scores, and review records. Providing a listening link authorizes us to retrieve and process the accessible material for these purposes; it is not a request that we only listen through the original player.

This operational permission does not by itself authorize us to grant synchronization, master-use, or other commercial exploitation licenses to buyers. Those activities require the authority provided by a separate agreement or other applicable authorization. We may share music and related information with prospective industry recipients where you have authorized that activity.

For authorized review, clearance, representation, or licensing activities, this permission includes maintaining due-diligence records of the checks performed and communicating relevant results or summaries to prospective licensees, music supervisors, and other involved decision-makers. Such records document our review process; they are not certificates of human authorship, noninfringement, or legal clearance. Nothing in these Terms expands rights in a third-party service’s outputs beyond the permissions available to VERILUX.

The operational permission lasts while needed for these purposes. After a submission is withdrawn or an account closes, it continues only as reasonably necessary to complete already authorized activities, maintain records required for existing agreements and licenses, comply with law, resolve disputes, and manage security, backups, and technical wind-down. Withdrawal does not revoke existing third-party licenses or require destruction of records that we are entitled or required to retain.

Automated analysis and review decisions

We may use automated and AI-assisted tools for tasks such as audio identification, tagging, similarity search, metadata preparation, screening, and assessing possible generative AI use. Their outputs are estimates and can be incomplete or wrong. A score, flag, match, or absence of a flag is not proof of authorship, infringement, copyright protection, clearance, or suitability for licensing.

Submission rules and automated checks may flag, block, or route material for additional review. We may accept, decline, pause, or remove submissions in our discretion, subject to applicable law and any separate agreement. Except for a human-review service expressly purchased as described below, we do not promise that every submission receives an individual response or that every decision involves human review. We do not promise completion within a particular time unless expressly agreed.

You may contact us to identify a material factual error or provide supporting documentation. We may request additional evidence and are not required to accept a submission because another service or reviewer reached a different conclusion.

Our internal screening methods, provider selections, thresholds, and detailed review materials are not themselves a purchased deliverable. We are not required to provide them except where required by applicable law or an express agreement. This does not limit a right to access personal information or other disclosures that the law requires.

Third-party services and recipients

The Services use and may link to third-party hosting, storage, authentication, communications, analytics, audio-processing, catalog, discovery, and sharing services. Third-party services may have their own terms, privacy practices, limitations, and retention arrangements. We do not warrant their uninterrupted availability, the accuracy of their outputs, or the complete removal of every copy or derived record held by them.

When you use a third-party service directly, your relationship with it is governed by its applicable terms. We are not responsible for independent conduct of third parties outside our control, except to the extent applicable law or a separate agreement makes us responsible. Nothing in this section excludes a legal obligation that cannot be excluded.

Acceptable use and access restrictions

Do not use the Services to infringe rights, submit fraudulent or unlawful material, impersonate someone, send spam, distribute malware, interfere with operations, access restricted data, circumvent security or usage controls, or scrape or harvest information without authorization. Do not upload another person’s confidential information unless you are authorized to provide it for the relevant purpose.

We may investigate suspected misuse, request verification, limit features, reject or remove material, suspend accounts, or terminate access when reasonably necessary to enforce these Terms, protect the Services or others, manage legal or operational risk, or comply with law. Where legally permitted, we may act without advance notice. Suspension of portal access does not itself terminate or amend a separately signed agreement.

Service changes, charges, and communications

We may change, discontinue, or limit features and submission availability, subject to services already purchased and any separate agreement. Other than the individual review expressly purchased, we do not promise any minimum review volume, pitching activity, placement rate, revenue, or uninterrupted access under these Terms.

Where paid song submissions are offered, you purchase submission credits in advance at the price and quantity shown before checkout. One credit is deducted when each valid new song submission is completed, unless an available free-submission entitlement or an expressly authorized waiver applies. Purchasing credits is separate from submitting a song; payment is not deferred until acceptance or signature of a representation agreement. Saving a draft or attempting a submission that fails validation does not consume a credit. Updating the same submission or supplying requested clearance documents does not by itself require another credit.

Submission-credit prices for future purchases may change at any time as our clearance process and associated costs evolve, subject to any notice required by applicable law. The applicable price and quantity will be shown before you authorize payment. Price changes do not reduce the number of credits already purchased, impose a retroactive surcharge, or change the rule that one existing credit covers one valid new song submission. Refund values remain based on the amount actually paid, not a later price.

If VERILUX rejects a paid song submission before it enters the clearance stage, the credit used for that submission is restored to your account for another submission. This is an account-credit return, not an automatic refund to your payment method. The clearance stage begins when VERILUX accepts the song to proceed into clearance review and moves the submission into that stage. The pre-clearance credit-return rule does not automatically apply to a rejection after that point. Review delays or delays in providing documents or signatures do not, by themselves, trigger a credit return.

The submission-credit fee pays for the individual human review and clearance-review process described in the purchase and submission workflow, subject to the pre-clearance credit-return rule above. Automated tools may assist the human reviewer, but automated analysis alone does not fulfill a purchased human-review service. Payment does not guarantee successful clearance, a favorable finding, a representation agreement, a pitch, a placement, or revenue. Acceptance into clearance is not final acceptance for representation or a finding that the song is fully cleared. A song may still be rejected during or after clearance review if you cannot provide required split sheets, work-for-hire agreements, contributor permissions, or other satisfactory rights documentation, or if other eligibility or rights issues arise. Such a later rejection does not, by itself, entitle you to a returned credit under the pre-clearance rule.

The applicable price, scope, and additional purchase, cancellation, and refund conditions must be presented before you authorize payment. Free or promotional submission entitlements are governed by the conditions of their offer and do not constitute purchased credits or a right to a cash refund. Nothing in this section limits refunds or other remedies required by applicable law or expressly agreed by VERILUX. No charge is created merely by this paragraph.

Unused purchased credits and refunds

You may request a refund of purchased credits that have never been used without closing your account or withdrawing represented songs. When you close an eligible account, unused purchased credits also include paid credits restored to your balance after a submission. Restored paid credits remain reusable for another submission while the account is open; their eligibility for a discretionary cash refund under this paragraph arises on eligible account closure. Refunds required by applicable law are not restricted by these distinctions.

Refund value is based on the amount actually paid for the refundable credits, including any pack discount, not the current single-credit price. Where lawful, we may deduct only the non-recoverable original payment-processing fees proportionately attributable to the refunded amount and any additional refund-processing fee actually incurred for that refund. We do not assume an additional refund fee always applies. We will show the credit value, individual fee deductions and proposed net refund before you confirm a discretionary refund. We do not deduct the same fee twice or refund amounts already refunded or reversed through a payment dispute.

Free, promotional and fee-exempt submissions have no cash-refund value. Refunded or successfully charged-back purchased credits are removed or otherwise reconciled to prevent duplicate use or recovery. Refunds ordinarily return to the original payment method; processing time and available methods depend on the payment provider and applicable law. Contact us if the original payment method is unavailable. Nothing in these Terms reduces a mandatory right to a full refund or permits a deduction prohibited by applicable law.

September allowance and first submissions

Through September 30, 2026, an artist account may complete up to ten free song submissions during September, including free submissions already completed that month. Drafts do not count. Additional submissions require credits unless we have expressly authorized Unlimited submissions. Deleting or withdrawing a submitted song does not replenish this promotional allowance. Songs already submitted are not charged retroactively.

Unused September allowance expires October 1, 2026 at 12:00 a.m. Eastern Time. An artist who first logs into the portal before that deadline does not receive an additional free submission in October, even if the September allowance was unused. Eligible newly onboarded artists first using the portal after that deadline may receive the first-song-free entitlement shown in their account; existing accounts do not receive a renewed entitlement. Free and promotional allowances have no cash value.

Submission-fee waivers

VERILUX may waive submission-credit requirements for selected accounts, including representative accounts. A waiver does not dispense with profile, identity, rights, documentation or agreement requirements. We may end a waiver prospectively, with the applicable credit requirement shown before a new submission. Ending a waiver does not retroactively charge for songs already submitted or remove an existing purchased-credit balance. It does not alter representation economics or a separately signed agreement.

Account closure and removal of songs

You may request account closure at any time. Self-service account deletion is not available while a song remains under signed representation. Each represented song must first complete the withdrawal or termination process required by its own agreement. A closure request by itself is not notice of withdrawal, does not shorten a Work Term or notice period, and does not terminate a representation agreement.

You may give a permitted withdrawal or non-renewal notice before it takes effect; the signed agreement determines the effective date. Opportunity-specific restrictions, surviving licenses, accounting duties and publishing-administration obligations are reviewed according to that agreement. A surviving commission entitlement alone is not treated as a new blanket extension of representation. The signed agreement controls if this summary differs from its terms.

Where no songs remain under signed representation and no other applicable obligation prevents closure, account closure includes removal of eligible songs and associated files from the active account. We first reconcile pending signature requests, shared rights, financial balances and any refund. A manager or representative cannot use closure to erase another account holder's catalog or other people's rights or records. Where continuing contact or payment arrangements are necessary for existing licenses or surviving obligations, we will arrange them before completing closure.

Closure is not a promise to erase every record or copy. We may retain information reasonably necessary for existing agreements and licenses, payments, tax and accounting obligations, security, dispute resolution or legal claims, subject to applicable law and our Privacy Policy. Closing an account does not cancel issued licenses or release surviving obligations. You may separately submit a privacy or erasure request even while representation or account-closure review remains pending.

We may send operational communications concerning your account, submissions, security, rights questions, and agreements. Opting out of marketing does not necessarily stop these communications. Separate electronic-signature disclosures apply where presented.

Our materials

The Services’ branding, software, design, and other content supplied by VERILUX or its licensors are protected by applicable intellectual-property rights. Except as expressly permitted, these Terms do not grant permission to reproduce, distribute, sell, or commercially exploit them.

Access to music through the Services does not give a visitor permission to synchronize, release, distribute, sample, or otherwise exploit it. Obtain the necessary written licenses from the appropriate rights holders.

Disclaimers

To the fullest extent permitted by law, the Services and their content and outputs are provided “as is” and “as available,” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the Services will be secure, uninterrupted, error-free, or compatible with every device, or that any screening result, metadata, educational material, or third-party information will be accurate or complete.

You remain responsible for rights clearance, the truth of your submissions, and decisions made in reliance on automated outputs. Nothing in these Terms disclaims an express obligation in a separately signed agreement or a warranty that applicable law does not allow us to exclude.

Liability limitations

To the fullest extent permitted by law, VERILUX and its personnel will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits, revenue, opportunities, goodwill, or data, arising from or relating to the Services or these Terms, even if advised of the possibility.

To the fullest extent permitted by law, VERILUX’s aggregate liability arising from or relating to the Services and these Terms will not exceed US$100. This limit concerns the Services and these Terms; it does not reduce amounts payable under a separately signed representation or licensing agreement or override that agreement’s liability provisions.

These exclusions and limitations do not apply to liability for fraud, willful misconduct, or any other liability that applicable law prohibits us from limiting. Nonwaivable statutory rights remain unaffected.

Indemnification

To the extent permitted by law, you will indemnify and hold harmless VERILUX and its personnel against third-party claims, liabilities, damages, settlements, and reasonable legal costs arising from your Submitted Material, your lack of required rights or authority, your material misrepresentations, or your unlawful use of the Services or material breach of these Terms. This obligation does not apply to the extent a claim results from VERILUX’s own unlawful conduct or use outside the authority you granted.

We will give reasonably prompt notice of a covered claim, with any delay relieving you only to the extent it materially prejudices the defense. We may control the defense and settlement using counsel of our choice, acting reasonably, and you will reasonably cooperate. You may not settle a claim in a way that admits fault by, imposes obligations on, or fails to release VERILUX without our written consent. The limitation on VERILUX’s liability does not cap your obligations under this section.

Governing law and other provisions

Montana law governs these Terms, without regard to conflict-of-law rules. Subject to nonwaivable rights and any controlling dispute provision in a separately signed agreement, disputes concerning the Services or these Terms must be brought in a state or federal court of competent jurisdiction in Montana.

If a provision is unenforceable, it will be limited or severed to the extent necessary, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. Provisions that by their nature should survive termination, including applicable record-retention permissions, disclaimers, liability limitations, indemnification, and dispute provisions, survive.

We may update these Terms prospectively by posting a revised version and effective date. We will provide additional notice or obtain renewed acceptance where required by law. A revision does not retroactively change a separately signed agreement or eliminate accrued rights or obligations.
